Z Clauses and Case Law
Waleed TariqThis chapter is the practitioner reference for Z clauses and for the case law that has shaped NEC interpretation. It opens with the question of when a Z clause is genuinely needed and how one is drafted without breaking the surrounding contract architecture. The statutory floor under the Housing Grants, Construction and Regeneration Act 1996 is then reviewed and explores the pay-when-paid provisions. Seven recommended Z clauses follow in copy-paste ready specimen form, covering order of priority of documents, project-specific insurance, enhanced disclosure and confidentiality, step-in rights, payment application supporting detail, data protection, and set-off and cross-contract payment. Six categories of Z clauses to avoid are then identified, including those that grant time without money on compensation events. The case law half of the chapter covers how Adjudicators treat Z clauses, the boundaries of the mutual trust obligation under Van Oord v Dragados and Costain v Tarmac, the dividing date for compensation event assessment, and the framework for delay damages under X7 across Biffa, Cavendish, and Triple Point. The chapter closes on the recurring drafting and bespoke amendment failures that Adjudicators see most often.
