Innocule Ltd.: The Funding Conundrum

Gaurav Singh Chauhan

The case examines a financing decision faced by Innocule Materials and Additives Pvt. Ltd., an innovation-driven manufacturing start-up operating in India’s mineral-processing sector. By FY2023, the company had achieved revenues of ₹241.74 million but required significant capital investment of approximately ₹500 million over the next 5 years to scale operations, diversify its product portfolio and expand into international markets. Gyan Ranjan Das, the founder and managing director, is evaluating a venture capital (VC) investment proposal from Capital First in the range of ₹80–₹150 million. While the investment offers not only capital but also strategic guidance and access to networks, it introduces concerns related to valuation uncertainty, ownership dilution and control rights. The case requires students to assess Innocule’s financing needs, evaluate alternative funding options, analyse VC terms and determine an appropriate valuation. It also highlights the trade-offs between growth and control in the context of scaling a capital-intensive, business to business manufacturing start-up.
